Collaboration Agreement Review

Before submitting your collaboration request, please take a moment to review the agreements below. These agreements help safeguard RentACoop’s proprietary and intellectual property and outline how testimonials, photos, videos, and other content you choose to share may be used if your collaboration application is accepted. Please note that all sections of the collaboration agreement must be completed in full before your request can be submitted for review and consideration.

Patent / Invention / Product Non-Disclosure Agreement

This Patent/Invention/Product Non-Disclosure Agreement, hereinafter known as the “Agreement,” is between RentACoop LLC, hereinafter known as the “Disclosing Party,” and the applicant/collaborator, hereinafter known as the “Receiving Party.”

The Disclosing Party and Receiving Party wish to discuss and exchange certain items and information related to business programs, products, applications, systems, components, technologies, and business topics, which the parties consider highly confidential and proprietary.

Terms & Definitions

“Invention” shall mean all information relating to business programs, products, applications, systems, components, technologies, and business topics.

“Confidential Information” shall mean all information provided by Disclosing Party with respect to the Invention, regardless of whether it is written, oral, audio tapes, video tapes, computer discs, machines, prototypes, designs, specifications, articles of manufacture, drawings, or human or machine-readable documents. Confidential Information shall also include all information related to the Invention provided by Disclosing Party to Receiving Party prior to the signing of this Agreement.

Confidential Information shall not include information that is already in the public domain, information already in the possession of the Receiving Party as demonstrated by business records and not acquired from the Disclosing Party, or information acquired from a third party who did not require the Receiving Party to hold it in confidence.

Use of Confidential Information

The Receiving Party agrees to:

Receive and maintain the Confidential Information in confidence.
Examine the Confidential Information at its own expense.
Not reproduce the Confidential Information without written consent from RentACoop LLC.
Not make known, divulge, publish, or communicate the Confidential Information to any person, firm, or corporation without written consent.
Limit internal disclosure to those who have a need to know and an obligation to protect it.
Not use the Confidential Information without written consent.
Not use the Confidential Information to design or create a similar method, system, apparatus, or device unless expressly authorized in writing.
Use best efforts to protect and safeguard the Confidential Information from loss, theft, destruction, or similar risk.

Return of Confidential Information

All information provided by RentACoop LLC remains the property of RentACoop LLC. The Receiving Party agrees to return all Confidential Information within 5 days of written demand. When the Receiving Party has finished reviewing the information and has decided whether or not to work with RentACoop LLC, the Receiving Party shall return all information without retaining copies.

Additional Terms

The Receiving Party acknowledges that any breach of this Agreement may cause irreparable harm and that RentACoop LLC shall be entitled to remedies available at law. This Agreement is non-assignable unless prior written consent is received. Confidential Information may not be disclosed to any third party unless the information has been made public or written permission has been given by RentACoop LLC.

This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland. No license to any patent, trade secret, invention, trademark, copyright, or other intellectual property right is granted by disclosure of Confidential Information.

This Agreement is binding upon the parties and their respective heirs, personal representatives, successors, and assigns. If any provision is found invalid or unenforceable, the remaining provisions shall remain in effect. This Agreement represents the entire understanding between the parties unless amended in writing and signed by both parties.

I have read and agree to the terms and conditions within the Patent/Invention/Product Non-Disclosure Agreement.

Testimonial / Endorsement Release

I agree to the following:

I give permission to RentACoop LLC, located at 22325 Ridge Road, Germantown, MD 20876, its parent, subsidiaries, affiliates, licensees, successors and assigns, and those acting under their authority, collectively referred to as “Company,” to use and authorize others to use my statement, testimonial, endorsement, name, likeness, and pictures in connection with RentACoop LLC.

Company may use, copy, exhibit, publish, and distribute the Testimonial, in whole or in part, in print, including packaging, television, radio, film, digital media, including internet, social media, websites, and apps, and in all other media now known or hereafter existing for advertising, marketing, publicity, and promotion of RentACoop LLC and its products, services, brands, and all other commercial business purposes.

Company may modify the Testimonial so long as the original content is not significantly altered or misrepresented.

I understand and acknowledge that Company is under no obligation to actually use the Testimonial and has the right to use the Testimonial either with or without my name.

I waive the right to inspect or approve any use by Company of the Testimonial.

I certify that the Testimonial is true and accurate and reflects my personal experiences and honest beliefs, and that I made the Testimonial of my own free will.

I acknowledge that I will receive no compensation from Company other than any goodwill and publicity that I may receive relating to Company’s use of the Testimonial.

I hold harmless and release Company, its officers, directors, agents, and employees from all claims, demands, and liabilities of any kind arising out of or in connection with Company’s use of the Testimonial, including without limitation, claims based upon invasion of privacy, defamation, or right of publicity. I will not make any claim against Company for its use of the Testimonial.

By signing, I acknowledge that I am over 21 years of age and have read and understood all terms of this release.
